Due Date Change for Annual Report

Effective January 1, 2022, HB 5984A/SB 789A changes the due dates of annual reports of domestic and foreign business corporations, nonprofit corporations, and limited liability companies to between February 1 and May 1 of each year.

"SECTION 1. Section 7-1.2-1501 of the General Laws in Chapter 7-1.2 entitled"Rhode 2 Island
Business Corporation Act" is hereby amended to read as follows: 3 7-1.2-1501. Annual reports of domestic and foreign corporations.
4 (a) Each domestic corporation, and each foreign corporation authorized to transact business
5 in this state, shall file, within the time prescribed by this chapter, an annual report stating:
6 (1) The name of the corporation and the state or country under the laws of which it is
7 incorporated;
8 (2) A brief statement of the character of the business in which the corporation is actually
9 engaged in this state;
10 (3) The names and respective addresses of the directors and officers of the corporation;"
