Revised Uniform Partnership Act

Effective January 1, 2023, both the Uniform Partnership Act and Uniform Limited Partnership Act will be revised to establish consistency with respect to formation requirements and business practices, creating business environments with more predictable legal outcomes. 

Corporate Conversions

Effective January 1, 2023, Senate Bill 49 establishes a process similar to other types of California business that allows a corporation to convert in a single step to a business entity organized under the laws of a different state.

Remote Shareholder Meetings

Effective January 1, 2023, Assembly Bill 1780 allows corporation to hold virtual shareholder meetings if it takes place on or before December 25, 2025, and it features a live audiovisual feed.

Annual Report Requirement vs. Dicennial

The Pennsylvania Department of State will now have an Annual Report requirement vs. every 10 years, per HB 2057.

Assumed Business Names

Assumed business names filed prior to December 1, 2017, will expire on December 1, 2022 and will not appear in the database.
