| Connecticut Increases Filing Fees and Penalties |

Effective October 1, 2009
CONNECTICUT -- The Commercial Recording Division has issued a notice regarding an increase in several Secretary of State filing fees. While some fees for services will remain the same, most fees regarding corporate filings are doubling. Please review the revised fee schedule.
In addition, the penalty fee for unregistered out-of-state companies will also increase in an effort to enforce compliance and provide more accountability for consumers. Foreign entities doing business in Connecticut that fail to register with the Secretary of State will now be fined $300 per unregistered month compared to the prior $165 fee.

| Maryland Changes Filing Procedures for Foreign Entities |

Effective October 1, 2009
MARYLAND -- Foreign corporations, LLC's, LLP's, and LP's will now be required to submit proof of existence or a certificate of status from their domestic state, otherwise known as the state of formation, when an initial filing is made with the Maryland State Department of Assessments and Taxation (SDAT).
