| Nevada Secretary of State Updates |

Please be aware of the new legislation being enforced regarding entities doing business in Nevada.
Effective October 1, 2009
Pursuant to Assembly Bill 146 passed by the 2009 Nevada Legislature, the authority for the State Business License will be transferred from the Department of Taxation to the Secretary of State. All Business License fees, applications and renewals will now be processed through the Secretary of State. Entity due dates for State Business License applications and renewals will be determined by their initial or annual list due dates. In addition, the State Business License Fee has increased to $200 annually.
Other Nevada legislation passed under Senate Bill 350 declares that any entity doing business in Nevada without proper registration with the Secretary of State will be disclosed to the district attorney or Attorney General and subject to monetary penalties of no less than $1,000 - $10,000.
SB 350 also states that under certain conditions Limited Liability
Companies and Limited Partnerships may now elect to be restricted. Entities must designate restriction on amended forms that will be made available prior to October 1, 2009.

| Cost Efficient Changes in Kentucky Corporate Filings |

Kentucky's Secretary of State Office has announced significant changes in policies regarding corporate filings in an effort to reduce costs. Please review the following adjustments:
Effective September 1, 2009
New Postcard
The majority of corporate filings submitted will be returned to customers on a postcard (see sample). Customers may request a downloadable full page copy by contacting the Records Division at (502) 564-3490 or visiting www.sos.ky.gov.
Change in Label Policy
In addition to the sticker version of the confirmation label, an electronic version will also be utilized and should be accepted as a true document. The date and time of the filed document will still appear on both of the confirmation labels.
Corporate Form Update
ALL SOS Corporate forms have been revised.
Customers will now only be required to submit the original document for filing purposes. However, this does not apply to non-profits who will still be required to submit two additional copies of each filing. |
